改定:2026年10月4日
3rd Toba International Film Festival
Business Meeting Terms and Conditions
For participants considering funding or collaboration
Scheduled time: Saturday, October 10, 2026, approximately 3:00–5:00 p.m. Japan Standard Time (JST)
Registration: Free
Filmmakers will present their films and projects. The meeting is intended to create opportunities for them to meet and speak with producers, potential funding partners, distributors and other industry participants.
These Terms and Conditions (“Terms”) apply to corporations and individuals (“Participants”) attending the Toba International Film Festival Business Meeting (“Business Meeting”), organized by the Toba International Film Festival Executive Committee (“Organizer”), to consider film production, distribution, promotion or other collaboration.
Article 1 — Purpose and Nature
- The Business Meeting provides a setting for exchanging information and views, networking, and exploring potential future collaboration involving films and related projects.
- Attendance or presentation of a project does not guarantee any transaction, return or future outcome.
- If the parties proceed with funding or another transaction, they will consider the laws applicable to its specific structure and discuss its terms separately.
Article 2 — Project Presentations and Transactions
- Films, production plans and financial projections presented at the Business Meeting are provided for consideration.
- By introducing a project, the Organizer does not require any Participant to invest, purchase or enter into another transaction.
- The parties are responsible for determining the legal nature of any proposed transaction and completing any procedures required for their specific agreement.
Article 3 — Independent Decisions
- Participants must verify the information they receive and make their own decisions regarding negotiations and contracts.
- The Organizer is not a party to negotiations or transactions between Participants or third parties unless it separately agrees in writing to become a party.
Article 4 — No Contract Created by Attendance
Attendance alone does not create an agreement to provide funding, perform services, form a joint venture, grant rights or enter into any other transaction. Any transaction requires separately negotiated terms and a formal written agreement between the relevant parties.
Article 5 — Forms and Terms of Collaboration
Collaboration may include co-production, commissioned work, distribution and exhibition, promotion, sponsorship, filming locations, technology and services, or financial support, depending on the project and the interests of the parties.
The Business Meeting sets no minimum financial commitment for collaboration. Participants are welcome to exchange information and discuss opportunities even where a budget has not yet been determined.
Any fees, payment arrangements, responsibilities, rights, schedules and other terms shall be discussed separately and agreed in writing by the relevant parties. Applicable taxes and arrangements for payments in foreign currencies shall also be addressed in the individual agreement where necessary.
Attendance at the Business Meeting does not create any obligation to provide funding, commission work, offer sponsorship or make any other payment.
Article 6 — Screening at a Future Festival
- For a film that becomes the subject of funding or collaboration following the Business Meeting, the parties may consider screening it at the next Toba International Film Festival, including before the film is completed.
- Whether a screening takes place, together with rights clearances, materials, format, duration and other conditions, shall be separately agreed by the rights holder and the Organizer.
Article 7 — Handling of Information
Participants shall not disclose unpublished information or materials expressly identified as confidential by the disclosing party, or use them for purposes unrelated to evaluating the opportunity presented at the Business Meeting, without that party’s prior consent. This obligation continues after the Business Meeting, except where disclosure is required by law.
Article 8 — No Guarantee Regarding Information
The Organizer does not warrant the accuracy, completeness, currency or profitability of projects, materials or projections provided by Participants. Participants must conduct any checks they consider necessary before entering into a transaction.
Article 9 — Responsibility
The Organizer’s responsibility is subject to applicable law. The Organizer does not guarantee the completion or results of any transaction between Participants.
Article 10 — Compliance with Laws
Participants shall comply with the laws applicable to their attendance and any individual transaction.
Article 11 — Exclusion of Organized Crime Groups
- Participants represent that they are not associated with organized crime groups or other anti-social forces.
- If this representation proves false, the Organizer may refuse or terminate their participation.
Article 12 — Amendments
The Organizer may amend these Terms when necessary and will post amended Terms on its website. Terms of an individual agreement already concluded remain governed by that agreement.
Article 13 — Governing Law and Jurisdiction
These Terms are governed by the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance over disputes concerning these Terms.
